## Position

**Fiduciary Director / Professional Director**

## Role Overview

The Fiduciary Director acts as a formally appointed director of client companies and is responsible for exercising independent judgment, fulfilling statutory and fiduciary duties, maintaining appropriate corporate governance, and ensuring that each company is managed in accordance with applicable law, its constitutional documents, and legitimate commercial objectives.

The role requires a high degree of integrity, professional independence, commercial awareness, and understanding of corporate governance, compliance, accounting, tax, and international business structures.

The Fiduciary Director must act in the best interests of each company to which they are appointed and must not act merely as an agent or nominee executing instructions from shareholders or beneficial owners.

## Key Responsibilities

### 1. Corporate Directorship

* Serve as a legally appointed director of client companies.
* Exercise independent judgment in relation to company affairs.
* Participate in and, where appropriate, chair board meetings.
* Review and approve material corporate decisions.
* Review and sign board resolutions, contracts, financial statements, banking documents, and other corporate documents where appropriate.
* Ensure that decisions are properly documented and supported by a legitimate commercial rationale.
* Monitor the company's activities, financial position, obligations, and significant risks.
* Ensure that the company operates within the scope of its stated business activities and constitutional documents.

### 2. Fiduciary & Governance Duties

* Act honestly, professionally, and in good faith in the interests of the company.
* Exercise reasonable care, skill, and diligence.
* Avoid or appropriately manage conflicts of interest.
* Maintain appropriate oversight of delegated activities.
* Protect company assets and confidential information.
* Ensure appropriate corporate records and decision-making processes are maintained.
* Challenge shareholder, beneficial-owner, employee, adviser, or third-party proposals where they may conflict with the director's duties or applicable law.

### 3. Compliance & Risk Management

* Ensure appropriate compliance with applicable company law and regulatory requirements.
* Support and oversee KYC, AML, sanctions, and beneficial-ownership compliance.
* Understand the identity, business activities, and risk profile of beneficial owners and relevant counterparties.
* Review unusual, high-value, or potentially high-risk transactions where appropriate.
* Escalate compliance concerns to the Compliance Officer, MLRO, legal advisers, or other responsible persons.
* Refuse to approve transactions or arrangements that appear unlawful, fraudulent, misleading, commercially unjustifiable, or inconsistent with the director's duties.
* Ensure conflicts of interest are identified, documented, and appropriately managed.

### 4. Financial Oversight

* Maintain reasonable oversight of each company's financial position.
* Review management accounts, annual financial statements, budgets, and cash-flow information where appropriate.
* Monitor solvency and the company's ability to meet its liabilities.
* Review significant payments, loans, dividends, investments, related-party transactions, and other material financial commitments.
* Liaise with accountants, auditors, tax advisers, banks, and other professional advisers.
* Ensure appropriate accounting records are maintained.

### 5. Tax & Economic Substance

* Consider the tax implications of material board decisions in conjunction with qualified tax advisers.
* Ensure that corporate decision-making accurately reflects where decisions are genuinely made.
* Support compliance with applicable tax-residency and economic-substance requirements.
* Participate meaningfully in board meetings and maintain evidence of genuine management and control where relevant.
* Avoid arrangements intended to create an artificial or misleading appearance of management, control, residence, or substance.

### 6. Banking & Transactions

* Act as an authorised signatory where approved and appropriate.
* Review significant payments and banking transactions.
* Participate in bank onboarding and periodic compliance reviews where required.
* Review financing arrangements, investments, acquisitions, disposals, and other significant transactions.
* Ensure transactions are consistent with the company's business purpose and approved corporate strategy.

### 7. Client & Adviser Interaction

* Maintain professional communication with shareholders and beneficial owners.
* Understand the commercial objectives and activities of each company.
* Work closely with company secretaries, accountants, lawyers, tax advisers, compliance professionals, banks, and other service providers.
* Request additional information or professional advice before approving matters where necessary.
* Clearly communicate that director approval cannot be guaranteed merely because it has been requested by a shareholder or beneficial owner.

## Authority and Independence

The Fiduciary Director has independent statutory responsibilities to each company.

Instructions from shareholders, beneficial owners, advisers, employees, or other parties must therefore be considered but must not automatically be followed.

The Director must decline, postpone, or escalate a proposed decision or transaction where:

* insufficient information has been provided;
* the commercial rationale is unclear;
* the transaction may prejudice the company or its creditors;
* there are material compliance, sanctions, AML, tax, regulatory, or reputational concerns;
* a conflict of interest has not been adequately addressed; or
* approval would otherwise be inconsistent with the Director's legal or fiduciary duties.

## Required Qualifications & Experience

Candidates should ideally have:

* Experience as a company director, fiduciary professional, corporate-services professional, accountant, lawyer, tax professional, or senior business executive.
* Strong understanding of corporate governance and directors' duties.
* Experience with international corporate structures and cross-border business.
* Working knowledge of AML/KYC and sanctions requirements.
* Ability to understand financial statements and management accounts.
* Strong analytical and risk-assessment skills.
* Excellent written and verbal communication skills.
* Professional-level English; additional languages are advantageous.
* Ability and willingness to make independent decisions and challenge inappropriate requests.

Professional qualifications in law, accounting, tax, compliance, corporate governance, or trust and estate management are advantageous.

## Conflict of Interest & Confidentiality

The Fiduciary Director must disclose actual or potential conflicts of interest and comply with the company's conflict-management procedures.

All client, company, shareholder, beneficial-owner, banking, financial, and commercial information must be treated as strictly confidential, subject to applicable legal and regulatory disclosure obligations.

## Performance Expectations

Performance will be assessed based on the quality and timeliness of corporate oversight, regulatory and governance compliance, quality of board documentation, responsiveness to material company matters, risk identification and escalation, and the maintenance of appropriate professional independence.

The number of directorship appointments must remain at a level that allows the Director to devote sufficient time and attention to every company.

## Important Principle

A fiduciary directorship is a substantive governance role and not simply the provision of a name for the corporate register.

The appointed Director must understand the company's activities, participate meaningfully in its governance, exercise genuine decision-making authority, and remain personally responsible for performing the duties imposed upon a director by applicable law.
